1. The Parties agrees that there will be sharing, and exchange of confidential personal and sensitive personal information between them. To safeguard such information each party (“ Receiving Party ”) agrees to protect the confidential information of the other party (“ Disclosing Party ”) received by it hereunder as the Receiving Party would protect its own, or any diligent person or entity would protect information of this nature.
2. The Receiving Party agrees to use the confidential information only for the purpose of and in performance of its rights and obligations under this Agreement.
3. The obligation not to disclose confidential information shall survive notwithstanding the termination of this Agreement and at no time will the either Party be permitted to disclose confidential information of the other party, except to the extent at or after the time of disclosure or acquisition, the confidential information is in the public domain in the form supplied otherwise than through a breach of this Agreement by the Receiving Party.
